These Terms of Service ("Terms") are a binding agreement between Bezelia ("we", "us") and the business creating an account ("you", "Customer"). By creating an account, or by using the Service, you agree to these Terms on behalf of yourself and, where applicable, the business you represent. If you don't agree, don't use the Service.
Our Privacy Policy explains how we handle personal data and is incorporated into these Terms by reference.
Bezelia is a software-as-a-service platform that we may extend, evolve, or reconfigure over time, including with features powered by artificial intelligence. We may add, change, or remove features at any time, and will give reasonable notice before a change that materially reduces the Service's core functionality for your account.
You must be at least 18 and able to form a binding contract to create an account. You're responsible for:
We may suspend or terminate an account we reasonably believe is compromised, fraudulent, or in breach of these Terms.
You own your Customer Data. As between you and us, you retain all rights, title, and interest in the records, files, and other content your team submits to the Service ("Customer Data").
You grant us a worldwide, non-exclusive, royalty-free licence to host, copy, transmit, and process Customer Data solely to:
You're responsible for having the right to submit any Customer Data — including personal data about your own customers or contacts — into the Service, and for your own compliance with data protection law as controller of that data.
We own all right, title, and interest in:
We may use Aggregated Data and Usage Data, without restriction, to operate, support, and improve the Service, develop new features, and for any other lawful business purpose, including after your account is closed. We will never use Aggregated Data or Usage Data in a way that identifies you, your business, or an individual to a third party.
If you give us feedback or suggestions about the Service, you grant us an unrestricted, royalty-free licence to use them for any purpose, without any obligation to you.
Some features are, or in future may be, powered by third-party AI providers, as described in our Privacy Policy. This section applies to any such feature, whatever it does. You acknowledge and agree that:
You agree not to, and not to permit anyone else to:
We may suspend access immediately, without liability, if we reasonably believe you've breached this section and the breach poses a risk to the Service, other customers, or us.
Where a paid plan applies to your account, the fees, billing frequency, and payment terms will be presented to you at sign-up or in an order form, and form part of these Terms. Fees are non-refundable except where required by law or expressly stated otherwise. We may change our fees for future billing periods with at least 30 days' notice.
Each party may receive confidential information of the other in connection with the Service. Each party agrees to protect the other's confidential information with the same care it uses for its own confidential information (and no less than reasonable care), and to use it only to perform its obligations or exercise its rights under these Terms. This section doesn't apply to information that is public, independently developed, or required to be disclosed by law.
We will provide the Service with reasonable skill and care. Except as expressly stated in these Terms, the Service and all AI Output are provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory, including any implied warranties of satisfactory quality, fitness for a particular purpose, and non-infringement, to the fullest extent the law permits. We don't warrant that the Service will be uninterrupted, error-free, or secure against every possible threat.
Nothing in this section limits your statutory rights as a consumer, where those rights apply.
Nothing in these Terms excludes or limits either party's liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot lawfully be excluded or limited.
Subject to the paragraph above, and to the fullest extent permitted by law:
These limits apply to all claims in aggregate, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, and reflect the allocation of risk between the parties in setting our fees.
You will indemnify and hold us harmless from any claim, liability, damages, and costs (including reasonable legal fees) arising from: (a) Customer Data, including any claim that it infringes a third party's rights or that you lacked the right to submit it; (b) your breach of these Terms or applicable law; or (c) your use of the Service in combination with data, software, or hardware not provided by us.
We will indemnify and hold you harmless from any third-party claim that the Service, excluding Customer Data and AI Output, infringes that third party's intellectual property rights, provided you notify us promptly and let us control the defence. This indemnity doesn't extend to claims arising from AI Output, your Customer Data, or your modification or misuse of the Service.
These Terms apply from the moment you create an account until terminated. Either party may terminate for convenience with 30 days' notice, or immediately if the other party materially breaches these Terms and fails to fix it within 14 days of being asked to. We may also suspend or terminate immediately for non-payment, security risk, or suspected unlawful use.
On termination, your right to use the Service ends. We'll make your Customer Data available for export for 30 days after termination, after which we may delete it, except where we're required to retain it by law.
We may update these Terms from time to time, including to reflect new features, products, or lines of business. If a change is material, we'll notify you by email or in-app notice at least 14 days before it takes effect. Continuing to use the Service after a change takes effect means you accept the updated Terms; if you don't agree, you should stop using the Service before the change takes effect.
These Terms are governed by the laws of England and Wales, without regard to conflict-of-law principles. The courts of England and Wales have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, and each party submits to that jurisdiction.
Assignment. You may not assign these Terms without our written consent; we may assign them in connection with a merger, acquisition, or sale of assets. Entire agreement. These Terms, together with our Privacy Policy and any order form, are the entire agreement between us and supersede any prior agreement on the same subject. Severability. If any provision is found unenforceable, the rest remains in effect. No waiver. Failing to enforce a provision isn't a waiver of it. Force majeure. Neither party is liable for delay or failure to perform caused by circumstances beyond its reasonable control.
